Andrew Humphrey is a partner with the Faegre & Benson corporate group and is chair of the firm's management committee. His practice focuses primarily in the areas of general corporate counseling, mergers and acquisitions, venture capital financing and securities regulation. Corporate Counseling. Andrew provides general corporate counseling to a number of public and private companies. Representative clients include commercial technology companies such as Calabrio, Midwave Corporation, MSP Corporation, ShopNBC and SPS Commerce, as well as medical technology companies such as SurModics, Impres Medical and Tactile Systems. This practice includes providing or coordinating legal advice on the full range of legal issues that affect publicly held and venture-backed companies, including corporate organization and governance, ongoing business review and documentation, obligations of directors and officers, relations with shareholders, capitalization matters and securities issuances.
Mergers and Acquisitions. Andrew has represented buyers, sellers and investors in a variety of public and private transactions, including acquisitions and divestitures by Thomson Reuters, General Mills, and numerous venture-backed companies. Several of these transactions have included the issuance of securities and the consequent registration of these securities under federal and state law.
Venture/Strategic Capital. In addition to representing a number of venture capital firms in connection with venture capital financings, a primary focus of Andrew's venture capital work has been in "company-side" representation and strategic investments by corporations. Representative venture capital financings in which Andrew has acted as lead counsel include those for Calabrio, Celleration, Gearworks, Impres Medical, Spanlink Communications, SPS Commerce, Tactile Systems, Transmedia Network and Urologix.
Securities Regulations. Andrew has worked extensively with public and private companies and underwriters in connection with offerings of securities. Andrew has played a leading role for Faegre & Benson in numerous initial or secondary public offerings and as well as representing a number of corporations in private placements.
