Experience

Jason's practice emphasizes securities regulations and public offerings. Jason counsels public companies on Securities Exchange Act of 1934, NYSE and NASDAQ compliance and disclosure issues. Jason has reviewed and drafted numerous 1933 and 1934 Act filings. Jason also advises public company clients regarding disclosure controls and procedures, Sarbanes-Oxley Act, executive compensation, corporate governance, corporate finance and Section 16 compliance. Jason's securities experience also includes representation of issuers and underwriters in public securities offerings, including initial public offerings. He has also worked on spin-offs, PIPEs, 144A offerings, shelf registrations, private placements and tender offers.

In addition, Jason represents buyers and sellers in public and private company mergers and acquisitions. He also represents emerging companies in venture capital financing transactions and general corporate matters.

Jason has represented clients ranging from large Fortune 500 companies to small private emerging businesses across a variety of industries.

Jason joined the firm in 2006 as an associate. He previously practiced in the Washington, DC office of a major international law firm.

  • Representation of Crocs, Inc. in connection with its $248 million secondary public offering
  • Representation of DaVita Inc. in connection with its purchase of NxStage Medical, Inc. common stock in a PIPE transaction
  • Representation of an NYSE listed technology company in connection with multiple primary and secondary public offerings exceeding $1.3 billion in the aggregate
  • Representation of insurance, retail and medical device companies in connection with their initial public offerings
