Paul Finlan is a qualified solicitor in England and Wales and is a partner in the London corporate practice.
Prior to joining Faegre & Benson, Paul was a partner at Crowell & Moring and a worldwide partner in the tax and legal practice of Arthur Andersen. Paul has considerable experience in all types of company and corporate finance transactions, including acquisitions, disposals, joint ventures and restructurings.
Paul frequently represents clients based in the United Kingdom, the United States, Russia and Germany. He has extensive cross-border merger and acquisition experience and has worked on a number of transactions which he has project managed from a legal perspective across many jurisdictions.
Examples of transactions Paul has worked on include:
- Advising on the New York Stock Exchange acquisition of Wombat Financial Software for $200 million
- Advising ICAP plc on its $247 million acquisition of Traiana and related funding
- Acquisitions of distressed loan portfolios for Staffordshire Building Society (now Nationwide Building Society)
- Advising Mirax Group on its acquisition of Aqua at Allison Island LLC for $33 million
- Advising BBI Capital NFI SA on its equity investment in Kansas Semiconductors
- Acting for management on the Public to Private of McKechnie plc for £580 million
- Advising Wagon plc on its Class One acquisition of Ymos Door Systems in Germany and Belgium and the funding arrangements associated with it
- Advising Wagon plc on its disposal of Forkhardt GmbH and its subsidiaries in seven jurisdictions; on its acquisition in the Czech Republic of Blaimer International s.r.o; on its disposal of its Storage Products division to Permira; and on joint venture and share acquisitions in Sweden, France, Brazil and Italy
- Advising Alumasc plc on its acquisition of 25 percent of Xiloform Spa in Italy
- Advising Siemens on its acquisition from Alchemy Partners of Transmitton Ltd
- Acting for HSBC on its outsourcing agreement with Arriva plc relating to its car rental fleet business
- Implementing numerous European reorganizations including those for Makita, Ricoh and Bakelite
- Advising management on the takeover of South Staffordshire Water plc by Crescent Capital
In addition Paul has considerable experience of working with Russian businesses and their advisers on a wide range of corporate and commercial matters.
Examples include:
- Advising Mirax Group, a Russian-based international development business, on a number of projects across the world
- Advising Russian property owners on joint development projects especially in the area of hotel development; for example, Paul has advised owners in relation to projects with Mandarin Oriental, Four Seasons, Hyatt and Ritz-Carlton
- Assisting a "Big 4" accounting practice in Moscow in advising its clients on a range of legal issues
